TERMS AND CONDITIONS OF USE

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and BTGS Global, LLC, a Delaware limited liability company (“BTGS,” “Company,” “we,” “us,” or “our”).

For purposes of these Terms, references to “BTGS” include BTGS Global, LLC, its parent companies, affiliates, subsidiaries, related entities, members, managers, officers, directors, employees, contractors, agents, successors, and assigns.

These Terms govern your access to and use of the Black Travel Groups website, platform, mobile applications, content, and related services (collectively, the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree, you must not use the Platform.

1. Eligibility

You must be at least eighteen (18) years old and possess the legal capacity to enter into binding agreements.

2. Nature of the Platform

2.1 Platform Role

BTGS operates a discovery, marketing, promotional, informational, and community platform that features travel experiences, retreats, events, merchandise, sponsorship content, and related offerings created and operated by independent third parties (“Organizers” or “Third Parties”).

BTGS does not:

  • Act as a travel agency, tour operator, broker, booking agent, or seller of travel

  • Organize, operate, supervise, inspect, or control any travel experience

  • Enter into contracts on behalf of Users or Organizers

  • Guarantee pricing, availability, safety, legality, or quality

  • Assume responsibility for cancellations, refunds, itinerary changes, or performance

All agreements for participation in travel experiences are solely between Users and the applicable Organizer.

2.2 No Partnership or Agency

Nothing in these Terms creates any partnership, joint venture, agency, employment, or fiduciary relationship between BTGS and any Organizer or User.

Organizers are independent third parties and are not agents or representatives of BTGS.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and all activity occurring under your account.

BTGS may suspend or terminate accounts at its sole discretion, with or without notice.

4. Organizer Participation

Organizers must apply and may be subject to separate Organizer Agreements.

BTGS reserves the right to:

  • Approve or reject listings

  • Remove or modify listings

  • Suspend or terminate Organizer access

Approval does not constitute endorsement, certification, partnership, or guarantee.

5. Curation, Vetting, and Platform Standards

Terms such as “vetted,” “curated,” “featured,” or “recommended” refer solely to internal platform standards and eligibility criteria.

These terms do not:

  • Guarantee safety, legality, or quality

  • Verify licensing, insurance, or regulatory compliance

  • Constitute endorsement or certification

Users are solely responsible for conducting independent due diligence.

6. Sponsored Content and Advertising

The Platform may include paid placements, sponsorships, affiliate links, advertising, or promotional content.

Compensation does not constitute endorsement or guarantee.

BTGS may receive compensation from third parties in connection with listings, referrals, or promotional activities.

7. Payments and Future Monetization

Currently, BTGS may not process payments for travel experiences. However, BTGS reserves the right to offer payment facilitation services, memberships, subscription tiers, promotional programs, or other monetized features in the future.

Any such services may be governed by additional terms.

BTGS is not responsible for third-party payment processing systems.

8. Assumption of Risk and Release of Liability

Travel and group experiences involve inherent risks, including but not limited to:

  • Personal injury

  • Illness or disease

  • Property damage or theft

  • Delays or cancellations

  • Political instability

  • Civil unrest

  • Acts of third parties

  • Natural disasters

By using the Platform or participating in any experience, you:

  • Voluntarily assume all risks

  • Release BTGS from any and all claims arising out of or related to participation

  • Agree not to hold BTGS liable for acts or omissions of Organizers or third parties

9. User Content

If you submit reviews, testimonials, photos, videos, comments, or other content (“User Content”), you grant BTGS a worldwide, perpetual, irrevocable, royalty-free, transferable license to use, reproduce, distribute, display, modify, and create derivative works from such content.

You represent that you have the rights necessary to grant this license.

10. Intellectual Property

All Platform content, branding, logos, text, images, and design are owned or licensed by BTGS and protected by intellectual property laws.

Unauthorized reproduction or use is prohibited.

11. Prohibited Conduct

You agree not to:

  • Violate any applicable law

  • Misrepresent identity

  • Submit fraudulent or defamatory content

  • Scrape or harvest Platform data

  • Interfere with security or operation

BTGS reserves the right to investigate and take appropriate action.

12. DMCA and Copyright Complaints

BTGS respects intellectual property rights.
If you believe content infringes your copyright, you may submit a written notice including:

  • Identification of copyrighted work

  • Identification of infringing material

  • Contact information

  • Statement under penalty of perjury

BTGS may remove allegedly infringing content in accordance with applicable law.

13. Platform Availability

The Platform is provided “AS IS” and “AS AVAILABLE.”

BTGS does not guarantee uninterrupted, secure, or error-free access.

BTGS shall not be liable for downtime, system failures, data loss, cyberattacks, or technical issues.

14. Force Majeure

BTGS shall not be liable for any failure or delay resulting from causes beyond its reasonable control, including but not limited to:

  • Natural disasters

  • Pandemics

  • War or terrorism

  • Governmental actions

  • Labor disputes

  • Infrastructure failures

  • Cybersecurity incidents

15. Disclaimer of Warranties

To the fullest extent permitted by law, BTGS disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

16. Limitation of Liability

To the maximum extent permitted by law:

  • BTGS shall not be liable for indirect, incidental, consequential, punitive, or exemplary damages.

  • BTGS’s total liability shall not exceed the greater of (a) $100 or (b) the amount paid by you to BTGS in the twelve (12) months preceding the claim.

Any claim must be brought within one (1) year of the event giving rise to the claim.

17. Indemnification

You agree to indemnify and hold harmless BTGS and its parent companies, affiliates, subsidiaries, officers, directors, employees, contractors, agents, successors, and assigns from any claims, damages, liabilities, losses, or expenses arising from:

  • Your use of the Platform

  • Your participation in any experience

  • Your violation of these Terms

18. Electronic Communications

You consent to receive communications electronically, including notices and agreements.

19. Export and Compliance

You agree not to use the Platform in violation of U.S. export control or sanctions laws.

20. Dispute Resolution and Arbitration

All disputes arising out of or relating to these Terms or the Platform shall be resolved by binding, individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

  • Arbitration shall be seated in Delaware.

  • You waive the right to jury trial.

  • You waive the right to participate in any class, consolidated, or representative action.

21. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

22. Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

23. Assignment

BTGS may assign or transfer these Terms in connection with a merger, acquisition, restructuring, financing, or sale of assets without your consent.

You may not assign these Terms without prior written consent.

24. Modifications

BTGS may modify these Terms at any time.
Continued use of the Platform constitutes acceptance of revised Terms.

25. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and BTGS.
